मुंबई: 2 अप्रैल, 2022:  भारतीय रसायन उ़द्योग की एक प्रमुख कंपनी गुजरात हेवी केमिकल्स लिमिटेड ने अपने घरेलू वस्त्र व्यवसाय की 608.30 करोड़ रुपये की विनिवेश प्रक्रिया पूरी कर ली है और व्यवसाय को औपचारिक रूप से इंडो काउंट इंडस्ट्रीज को हस्तांतरित कर दिया है। जीएचसीएल ने एक प्रेस विज्ञप्ति में कहा।

 

ज्ञातव्‍य है कि गुजरात हेवी केमिकल्स लिमिटेड को 14 अक्टूबर, 1983 को निगमित किया गया था और 5 दिसंबर को व्यवसाय शुरू करने का प्रमाण पत्र प्राप्त किया था। इसे गुजरात औद्योगिक निवेश निगम, लिमिटेड (जीआईआईसी), जीटीसी इंडस्ट्रीज लिमिटेड (पूर्व में गोल्डन टोबैको कंपनी लिमिटेड के रूप में जाना जाता है), डालमिया डेयरी इंडस्ट्रीज लिमिटेड, उनकी पूर्ण स्वामित्व वाली सहायक कंपनियों और अन्य निवेश कंपनियों द्वारा संयुक्त क्षेत्र में बढ़ावा दिया गया था। 

 

इसके अलावा, जीएचसीएल की एक अमेरिकी सहायक कंपनी ग्रेस होम फैशन एलएलसी (जीएचएफ) ने जीएचसीएल की एक नियामक फाइलिंग में एसेट्स ट्रांसफर एग्रीमेंट (एटीए) की शर्तों के अनुसार इंडो काउंट ग्लोबल इंक को निर्दिष्ट संपत्तियों (इन्वेंट्री और बौद्धिक संपदा) की बिक्री पूरी कर ली।

 

कंपनी ने बिजनेस ट्रांसफर एग्रीमेंट (बीटीए) की शर्तों के अनुसार, 2 अप्रैल, 2022 को मंदी की बिक्री के माध्यम से अपने होम टेक्सटाइल कारोबार का विनिवेश सफलतापूर्वक पूरा कर लिया है।

 

इसलिए, 2 अप्रैल, 2022 से प्रभावी, गुजरात के भिलाद (वापी) में स्थित कंपनी के घरेलू वस्त्र व्यवसाय को औपचारिक रूप से इंडो काउंट इंडस्ट्रीज को स्थानांतरित कर दिया गया है और जीएचसीएल का स्वामित्व समाप्त कर दिया गया है। 

 

होम टेक्सटाइल कारोबार के विनिवेश के लिए कुल प्रतिफल की गणना 608.30 करोड़ रुपये की गई है। 

 

6 दिसंबर, 2021 को, सोडा ऐश के अग्रणी निर्माताओं में से एक, जीएचसीएल ने इंडो काउंट इंडस्ट्रीज को मंदी की बिक्री के आधार पर अपने घरेलू वस्त्र व्यवसाय के विनिवेश के लिए एक बीटीए में प्रवेश करने की घोषणा की थी।

 

कंपनी ने 21 जनवरी, 2022 को पोस्टल बैलेट के माध्यम से अपने शेयरधारकों से पहले ही आवश्यक अनुमोदन प्राप्त कर लिया था।

GHCL completes divestment of home textiles business for Rs 608 crore 

  

Mumbai: 2022/0402:  Chemicals major Gujarat Heavy Chemicals Ltd has completed the divestment process of its home textiles business for Rs 608.30 crore and formally transferred the business to Indo Count Industries. GHCL said in a press release.

 

Gujarat Heavy Chemicals Ltd was incorporated on 14th October, 1983 & obtained the Certificate of Commencement of business on 5th December. It was promoted in the joint sector by the Gujarat Industrial Investment Corporation, Ltd.(GIIC), GTC Industries Ltd. (formerly known as Golden Tobacco Co. Ltd.), Dalmia Dairy Industries Ltd., their wholly owned subsidiaries and other investment Companies, Indian & NRI Associates.

 

Besides, Grace Home Fashions LLC (GHF), a US subsidiary of GHCL, has completed the sale of specified assets (inventory and intellectual property) to Indo Count Global Inc in accordance with the terms of Assets Transfer Agreement (ATA), said GHCL in a regulatory filing.

 

The company has successfully completed the divestment of its Home Textile business by way of slump sale on April 2, 2022, in accordance with the terms of Business Transfer Agreement (BTA).

 

Hence, effective from April 2, 2022, the home textiles business of the company situated in Bhilad (Vapi), Gujarat, has been formally transferred to Indo Count Industries and ownership of GHCL has been ceased, it added.

 

 

The total consideration for divestment of the home textiles business has been calculated at Rs 608.30 crore. 

 

On December 6, 2021, GHCL, one of the leading manufacturers of soda ash, had announced to enter into a BTA for divestment of its home textiles business, as a going concern on a slump sale basis, to Indo Count Industries.

 

The company had already obtained the necessary approval from its shareholders, through Postal Ballot dated January 21, 2022.
